Welcome to Shop Sofly Vendors! These Terms of Service ("Terms") govern your access to and use of the Shop Sofly Vendors website, applications, and services (collectively, the "Platform") provided by Shop Sofly Vendors ("Shop Sofly Vendors," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you may not access or use the Platform.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU. THESE TERMS ALSO INCLUDE A GOVERNING LAW AND DISPUTE RESOLUTION CLAUSE.

1. Acceptance of Terms

1.1. Agreement: These Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("User," "you," "your"), and Shop Sofly Vendors, concerning your access to and use of the https://shopsoflyvendors.com/ website and any other related media form, media channel, mobile website or mobile application connected thereto (the "Platform").

1.2. User Types: Customers: Individuals or entities who create accounts, browse products, place orders, make payments, request returns/refunds, and communicate with support or Vendors. Vendors: Individuals or businesses who apply to sell, create stores, upload product listings, manage inventory, fulfill orders, communicate with Customers, and receive payouts on the Platform.

1.3. Modifications: We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms, and you waive any right to receive specific notice of each such change. Your continued use of the Platform after such modifications will constitute your acknowledgment and acceptance of the modified Terms.

2. Account Eligibility

2.1. General Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Platform. You must provide accurate, current, and complete information during the registration process and keep your account information updated. You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You may not have more than one active account.

2.2. Vendor Eligibility: Vendors must be legitimate businesses or individuals operating in compliance with all applicable laws and regulations. To become a Vendor, you must submit an application and be approved by Shop Sofly Vendors. We reserve the right to approve or deny any application at our sole discretion. Approved Vendors agree to provide all requested documentation, including business registration details, tax identification numbers, and banking information, as required for payouts. Vendors agree to operate their store and sell products in full compliance with all local, state, national, and international laws, regulations, and industry standards.

3. Customer Orders

3.1. Placing Orders: Customers can browse products and place orders through the Platform. By placing an order, you are offering to purchase a product from a Vendor, subject to these Terms and any specific terms of sale provided by the Vendor.

3.2. Order Acceptance: All orders are subject to acceptance by the respective Vendor. The contract for sale is directly between the Customer and the Vendor. Shop Sofly Vendors is a marketplace facilitator and not a party to the contract of sale between the Customer and the Vendor.

3.3. Order Confirmation: Upon placing an order, Customers will receive an order confirmation via email. This email confirms receipt of your order but does not signify the Vendor's acceptance of your order. Acceptance occurs when the Vendor ships the product or confirms availability.

3.4. Cancellation by Vendor: Vendors reserve the right to cancel any order for reasons including, but not limited to, product unavailability, errors in pricing or product description, or suspicion of fraudulent activity. In such cases, Customers will be notified and a full refund will be processed by Shop Sofly Vendors.

4. Product Listings

4.1. Vendor Responsibility: Vendors are solely responsible for the accuracy, completeness, legality, and truthfulness of their product listings, including descriptions, images, prices, inventory levels, and any other information related to the products they offer on the Platform.

4.2. Product Quality: Vendors must ensure that all products listed meet reasonable quality standards and match their descriptions.

4.3. Intellectual Property: Vendors warrant that they have all necessary rights to list and sell the products and that their listings and products do not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

4.4. Content License: By listing products on the Platform, Vendors grant Shop Sofly Vendors a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form, media, or technology, for the purpose of operating, marketing, and promoting the Platform and your products.

5. Pricing

5.1. Vendor Sets Prices: Vendors are solely responsible for setting the prices of their products. All prices are displayed in United States Dollars (USD) unless otherwise specified.

5.2. Accuracy: Vendors must ensure that all pricing information is accurate and current. In the event of a pricing error by a Vendor, Shop Sofly Vendors may, at its discretion, cancel the order, or allow the Vendor to correct the price and allow the Customer to proceed with the revised order.

5.3. Exclusions: Prices listed for products generally do not include shipping costs, taxes, or import duties, which will be added separately during checkout or specified by the Vendor.

5.4. Price Changes: Vendors may change their product prices at any time. However, such changes will not affect orders already placed.

6. Payments

6.1. Payment Processing: Shop Sofly Vendors uses third-party payment processors to facilitate all transactions on the Platform. By making a purchase or selling products on the Platform, you agree to be bound by the terms and conditions of these payment processors.

6.2. Customer Payments: Customers will pay Shop Sofly Vendors for their orders. Shop Sofly Vendors will then collect these payments on behalf of the Vendors, deduct applicable fees, and process payouts to Vendors as described in Section 10.

6.3. Accepted Payment Methods: We accept various payment methods as indicated on the Platform, which may include credit/debit cards and other electronic payment options.

6.4. Authorization: By submitting an order, you authorize Shop Sofly Vendors and its payment processors to charge your selected payment method for the total amount of the order, including product price, shipping fees, and applicable taxes.

6.5. Security: Shop Sofly Vendors takes reasonable measures to ensure the security of your payment information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures.

6.6. Chargebacks: In the event of a chargeback, the Vendor responsible for the product will be liable for the chargeback amount and any associated fees imposed by the payment processor. Shop Sofly Vendors will deduct such amounts from the Vendor's pending payouts or an existing balance.

7. Taxes

7.1. Vendor Tax Responsibility: Vendors are solely responsible for determining, collecting, reporting, and remitting any and all sales, use, value-added (VAT), goods and services (GST), or other similar taxes, duties, or assessments that may be applicable to their sales transactions on the Platform. Shop Sofly Vendors may provide tools to assist Vendors with tax calculations, but these tools do not constitute tax advice, and Vendors remain fully responsible for their tax compliance.

7.2. Platform Fees and Taxes: Any fees charged by Shop Sofly Vendors to Vendors (e.g., commissions) may also be subject to applicable taxes, which will be added to the fees where required by law.

8. Shipping

8.1. Vendor Responsibility: Vendors are solely responsible for setting their shipping policies, including shipping rates, available shipping methods, estimated delivery times, and packaging standards. Vendors must clearly communicate these policies in their store and product listings.

8.2. Fulfillment: Vendors are responsible for the timely and accurate fulfillment and shipment of all orders placed through their store on the Platform.

8.3. Tracking: Vendors must provide valid tracking information for all shipped orders, where applicable.

8.4. Loss or Damage: The risk of loss and title for products purchased by Customers from Vendors passes to the Customer upon the Vendor's delivery of the products to the shipping carrier. Vendors are responsible for any loss or damage to products prior to delivery to the carrier. Any issues with delivery (e.g., lost or damaged items in transit) should be addressed by the Customer directly with the Vendor or the shipping carrier, in accordance with the Vendor's shipping policy.

8.5. Compliance: Vendors must comply with all applicable shipping and customs regulations for domestic and international shipments.

9. Returns & Refunds

9.1. Vendor Return Policies: Each Vendor is required to establish and clearly state their own return and refund policy for products sold in their store. Customers should review the Vendor's specific return policy before making a purchase.

9.2. Customer Process: Customers wishing to return an item or request a refund must initiate the process directly with the Vendor through the Platform's messaging system or designated return process.

9.3. Vendor Responsibility: Vendors are responsible for processing returns and refunds in accordance with their stated policy and applicable consumer protection laws. This includes communicating with the Customer, inspecting returned items, and approving or denying refund requests.

9.4. Platform's Role in Disputes: Shop Sofly Vendors provides the communication tools and facilitates payment processing for returns and refunds. While Shop Sofly Vendors may mediate disputes between Customers and Vendors, the primary responsibility for resolving return/refund issues lies with the Customer and the Vendor. Shop Sofly Vendors reserves the right to make a final decision in disputes if the parties fail to reach an agreement, and Vendors agree to abide by Shop Sofly Vendors' decision.

9.5. Refund Processing: Approved refunds will be processed by Shop Sofly Vendors back to the Customer's original payment method, and the corresponding amount will be deducted from the Vendor's pending payouts or an existing balance.

10. Vendor Responsibilities

In addition to other responsibilities outlined in these Terms, Vendors agree to:

• Legal Compliance: Operate their business and sell products in full compliance with all applicable local, state, national, and international laws, regulations, and industry standards, including those related to product safety, labeling, intellectual property, consumer protection, and data privacy.

• Listing Accuracy: Ensure that all product listings are accurate, truthful, and complete, including descriptions, images, prices, and inventory availability.

• Order Fulfillment: Promptly and accurately fulfill all orders, package products appropriately, and ship them within the stated timeframes.

• Customer Service: Respond to customer inquiries and resolve issues professionally and in a timely manner.

• Payout Information: Maintain accurate and up-to-date banking and tax information to ensure timely payouts.

• Prohibited Products: Not list or sell any Prohibited Products as defined in Section 12.

• Platform Policies: Adhere to all Shop Sofly Vendors policies, guidelines, and instructions.

• Independence: Acknowledge and agree that Vendors are independent contractors and are not employees, partners, agents, or joint ventures of Shop Sofly Vendors. Vendors are solely responsible for all aspects of their business operations.

• Insurance: Maintain appropriate insurance coverage for their business and products, as necessary.

11. Vendor Payouts

11.1. Payout Schedule: Shop Sofly Vendors will process payouts to Vendors for completed orders on a recurring schedule (e.g., weekly or bi-weekly), subject to a minimum payout threshold as specified in the Vendor dashboard.

11.2. Deductions: Payouts will be net of Shop Sofly Vendors' commission fees (Section 12), payment processing fees, refunds, chargebacks, and any other applicable deductions or adjustments.

11.3. Payout Method: Payouts will be made to the bank account or other payment method provided by the Vendor in their account settings. Vendors are solely responsible for ensuring the accuracy of their payout information. Shop Sofly Vendors is not responsible for delayed or failed payouts due to incorrect information.

11.4. Holding Funds: Shop Sofly Vendors reserves the right to temporarily hold, delay, or reverse payouts in cases of suspected fraud, violations of these Terms, high rates of returns or chargebacks, or to ensure sufficient funds are available for potential refunds.

12. Fees

12.1. Commission Fees: Shop Sofly Vendors charges Vendors a commission fee on each sale made through the Platform. The current commission rates and any other applicable fees will be detailed in the Vendor Agreement or on the Vendor section of the Platform and are subject to change with prior notice.

12.2. Other Fees: Additional fees may apply, including but not limited to: Payment processing fees (charged by third-party payment processors). Listing fees (if any). Fees for optional services (e.g., advertising, premium features). Fees associated with chargebacks or disputes.

12.3. Fee Changes: Shop Sofly Vendors reserves the right to modify its fee structure at any time. Any changes will be communicated to Vendors with reasonable notice. Your continued use of the Platform after such notice constitutes acceptance of the new fees.

13. Prohibited Products

Vendors are strictly prohibited from listing, selling, or offering any of the following products on the Platform:

• Illegal items or items that promote illegal activities.

• Hazardous materials, explosives, or highly flammable items.

• Weapons (firearms, ammunition, knives, replicas, or any item designed to inflict harm).

• Drugs, controlled substances, drug paraphernalia, or items that encourage their use.

• Live animals or endangered species.

• Adult content, sexually explicit materials, or pornography.

• Counterfeit goods, replicas, or unauthorized reproductions of copyrighted or trademarked items.

• Stolen goods.

• Items infringing on intellectual property rights (e.g., copyright, trademark, patent) of others.

• Items that promote hate, violence, racial intolerance, or discrimination.

• Certain regulated items (e.g., alcohol, tobacco, pharmaceuticals) without proper licenses and explicit approval from Shop Sofly Vendors, which may be withheld at our sole discretion.

• Any items that violate Shop Sofly Vendors' community standards or are deemed inappropriate or unsafe by Shop Sofly Vendors in its sole discretion.

Shop Sofly Vendors reserves the right to remove any listing or suspend/terminate any Vendor account that violates this policy, without prior notice.

14. User Content

14.1. Definition: "User Content" refers to any content, data, or materials that you (as a Customer or Vendor) upload, post, publish, transmit, or display on the Platform, including product listings, store information, descriptions, images, reviews, messages, and profile information.

14.2. Responsibility for Content: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Shop Sofly Vendors to use your User Content as contemplated by the Platform and these Terms.

14.3. License to Shop Sofly Vendors: By submitting User Content, you grant Shop Sofly Vendors a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and perform your User Content in connection with the operation of the Platform and Shop Sofly Vendors's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels.

14.4. Prohibited Content: You agree not to upload or publish any User Content that is: Illegal, harmful, threatening, abusive, defamatory, libelous, or invasive of another's privacy. Infringing upon any intellectual property rights of others. Hate speech, discriminatory, or promotes violence or illegal activities. Spam, unsolicited advertising, or promotional material. * Contains viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any software or hardware.

14.5. Content Monitoring and Removal: Shop Sofly Vendors reserves the right, but has no obligation, to monitor, screen, edit, or remove any User Content, at any time and for any reason, without notice, including content that violates these Terms or is otherwise objectionable.

15. Reviews

15.1. Purpose: The Platform allows Customers to leave reviews and ratings for products and Vendors. The purpose of the review system is to provide authentic feedback and help other users make informed purchasing decisions.

15.2. Guidelines: Reviews must be honest, factual, and based on actual experience with the product or Vendor. Reviews must not contain offensive, derogatory, or hateful language, personal attacks, or illegal content. Users may not post reviews that are false, misleading, or intended to manipulate ratings. Vendors are strictly prohibited from manipulating the review system, including posting fake reviews for their own products or negative reviews for competitors.

15.3. Monitoring: Shop Sofly Vendors reserves the right, but not the obligation, to monitor and remove reviews that violate these Terms or are deemed inappropriate in our sole discretion.

16. Intellectual Property

16.1. Platform IP: All content on the Platform, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of Shop Sofly Vendors or its suppliers and protected by copyright, trademark, and other intellectual property laws.

16.2. Limited License: Subject to your compliance with these Terms, Shop Sofly Vendors grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal and internal business use as permitted by these Terms.

16.3. No Infringement: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform, use of the Platform, or access to the Platform without express written permission from us.

16.4. Reporting Infringement (DMCA): Shop Sofly Vendors respects the intellectual property of others and expects its Users to do the same. If you believe that your intellectual property rights have been infringed upon by a Vendor or User on the Platform, please notify us at [email protected] with detailed information about the alleged infringement. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).

17. Privacy

17.1. Your privacy is important to us. Our Privacy Policy, available at [Link to your Privacy Policy], explains how we collect, use, store, and disclose your personal information. By using the Platform, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.

17.2. Vendors agree to comply with all applicable data protection and privacy laws (e.g., GDPR, CCPA) when handling customer data obtained through the Platform. Vendors may only use customer data for the purpose of fulfilling orders and providing customer service related to those orders. Any other use of customer data is strictly prohibited without explicit customer consent.

18. Communications

18.1. Electronic Communications: By using the Platform, you consent to receive electronic communications from Shop Sofly Vendors, including notices, updates, and marketing materials. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

18.2. Platform Messaging: The Platform provides messaging tools to facilitate communication between Customers, Vendors, and Shop Sofly Vendors support. You agree to use these tools respectfully and for legitimate purposes only. Spamming, harassment, or any abusive conduct is strictly prohibited.

19. Platform Availability

19.1. "As Is" Basis: The Platform is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

19.2. Maintenance and Downtime: We may, from time to time, perform maintenance, upgrades, or experience unforeseen technical issues, which may result in temporary unavailability or reduced functionality of the Platform. Shop Sofly Vendors will not be liable for any losses or damages arising from such downtime.

20. Third-Party Services

20.1. The Platform may integrate with or contain links to third-party websites, applications, services, or resources (e.g., payment processors, shipping carriers, social media platforms). These third-party services are not controlled by Shop Sofly Vendors, and we are not responsible for their content, functionality, or privacy practices.

20.2. Your use of third-party services is subject to their respective terms of service and privacy policies. You acknowledge and agree that Shop Sofly Vendors shall not be liable for any loss or damage caused by your use of or reliance on any third-party services.

21. Disclaimers

21.1. NO WARRANTIES: THE PLATFORM AND ALL PRODUCTS/SERVICES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SHOP SOFLY VENDORS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

21.2. VENDOR-CUSTOMER CONTRACT: SHOP SOFLY VENDORS IS A MARKETPLACE FACILITATOR AND IS NOT A PARTY TO THE CONTRACT OF SALE BETWEEN CUSTOMERS AND VENDORS. SHOP SOFLY VENDORS HAS NO CONTROL OVER AND DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, TRUTHFULNESS, OR ACCURACY OF ANY PRODUCTS LISTED BY VENDORS, THE ABILITY OF VENDORS TO SELL PRODUCTS, OR THE ABILITY OF CUSTOMERS TO PAY FOR PRODUCTS.

21.3. PRODUCT ENDORSEMENT: SHOP SOFLY VENDORS DOES NOT ENDORSE ANY VENDOR, PRODUCT, OR SERVICE LISTED ON THE PLATFORM. ANY RELIANCE ON INFORMATION PROVIDED BY VENDORS OR OTHER USERS IS SOLELY AT YOUR OWN RISK.

22. Limitation of Liability

22.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHOP SOFLY VENDORS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM OR ANY PRODUCTS/SERVICES OBTAINED THROUGH THE PLATFORM.

22.2. IN NO EVENT SHALL SHOP SOFLY VENDORS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO SHOP SOFLY VENDORS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

22.3. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

23. Indemnification

You agree to indemnify, defend, and hold harmless Shop Sofly Vendors, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your User Content or product listings; (c) your breach or violation of these Terms or any applicable laws or regulations; (d) any misrepresentation made by you; (e) any actual or alleged infringement of any third-party intellectual property, privacy, or other rights by you or your products; or (f) (for Vendors) your products, sales, tax obligations, or fulfillment of orders.

24. Suspension & Termination

24.1. By Shop Sofly Vendors: Shop Sofly Vendors reserves the right, in its sole discretion, to suspend or terminate your account and your access to the Platform, without prior notice, for any reason, including but not limited to: Violation of these Terms or any other policies. Failure to pay fees. Engagement in fraudulent or illegal activities. High rates of customer complaints or chargebacks (for Vendors). * If we believe your actions may cause legal liability for Shop Sofly Vendors or other users.

24.2. Effect of Termination: Upon termination, your right to use the Platform will immediately cease. Any outstanding obligations (e.g., fulfillment of pending orders, payment of fees) will survive termination. Shop Sofly Vendors is not responsible for any loss of data, content, or revenue resulting from account termination. For Vendors, any pending payouts will be processed after accounting for any deductions, fees, or refunds.

24.3. By User: You may terminate your account at any time by contacting [email protected]. Any outstanding obligations will remain your responsibility.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

26. Dispute Resolution

26.1. Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute"), you and Shop Sofly Vendors agree to first attempt to negotiate any Dispute (except those expressly excluded below) informally for at least thirty (30) days before initiating arbitration or court proceedings. Such informal negotiations commence upon written notice from one party to the other.

26.2. Binding Arbitration (Optional for inclusion - recommend legal review): IF YOU ARE A VENDOR, ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, INCLUDING DISPUTES REGARDING THE INTERPRETATION OR APPLICATION OF THIS ARBITRATION CLAUSE, SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES AND THE SUPPLEMENTARY PROCEDURES FOR CONSUMER-RELATED DISPUTES. THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR IN LOS ANGELES, CALIFORNIA. THE AWARD OF THE ARBITRATOR SHALL BE FINAL AND BINDING, AND JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION.

26.3. Class Action Waiver: You and Shop Sofly Vendors agree that any arbitration or court proceedings shall be limited to the Dispute between Shop Sofly Vendors and you individually. To the full extent permitted by law, (a) no arbitration or court proceeding shall be joined with any other; (b) there is no right or authority for any Dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

26.4. Exceptions to Informal Negotiations and Arbitration: The parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

27. Updates to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Effective Date." Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.

28. Miscellaneous

28.1. Entire Agreement: These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Shop Sofly Vendors regarding the use of the Platform.
